Terms of Use & SaaS Agreement
1. Agreement to Terms
These Terms of Use and SaaS Agreement ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Satva Systems LLC, doing business as Satva ("Satva," "we," "us," or "our"), concerning your access to and use of satva.io, satvasystems.com, app.satva.io, related mobile applications, software, products, services, and other media or technology connected to Satva (collectively, the "Services").
Satva Systems LLC is registered in Nevada, United States, with a registered office at 620 South 7th Street, Las Vegas, Nevada 89101.
By accessing or using the Services, creating an account, beginning a free trial, or purchasing a product or service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services.
Supplemental terms, proposals, order forms, checkout terms, statements of work, or other written agreements presented in connection with a particular purchase are incorporated by reference. If a specific written agreement conflicts with these general Terms, the specific agreement will control with respect to that purchase.
We may update these Terms from time to time by posting a revised version and updating the "Last Updated" date. Continued use of the Services after revised Terms are posted constitutes acceptance of the revised Terms.
The Services are intended primarily for business use. You are responsible for complying with laws applicable to your location, industry, business, communications, data, customers, and use of the Services. Unless expressly agreed in writing, the Services are not designed for compliance with specialized regulatory regimes such as HIPAA, FISMA, or GLBA.
2. Intellectual Property Rights
Unless otherwise indicated, the Services and their source code, databases, functionality, software, website designs, text, graphics, audio, video, photographs, trademarks, service marks, logos, and other content owned or licensed by Satva ("Satva Content") are protected by applicable intellectual property laws.
Subject to these Terms and payment of applicable fees, Satva grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. No ownership interest in Satva Content or the underlying software is transferred to you.
You may not reproduce, resell, distribute, reverse engineer, decompile, copy, scrape, create derivative products from, or commercially exploit Satva Content or the Services except as expressly permitted by Satva in writing or by applicable law.
You retain ownership of the content, customer information, branding, materials, and other data you lawfully provide to the Services ("Customer Content"), subject to the permissions reasonably necessary for Satva and its service providers to host, process, transmit, display, and otherwise use Customer Content to provide and support the Services.
3. User Representations
By using the Services, you represent and warrant that the information you provide is accurate and current; you have authority to enter into these Terms; your use of the Services will comply with applicable law; you will not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes; and, if you act for a business or organization, you have authority to bind that entity.
4. User Registration & Account Security
Certain Services require an account. You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. You agree to promptly notify Satva of suspected unauthorized access or security incidents involving your account.
You may not share credentials in a manner that exceeds the users, seats, or access rights included in your plan. Satva may suspend access when reasonably necessary to protect the Services, other users, or Satva from security threats, fraud, abuse, nonpayment, or material violations of these Terms.
5. Fees, Payment & Recurring Billing
Some Services require payment. You agree to provide current, complete, and accurate billing information and to promptly update your payment information as necessary.
Prices are stated in U.S. dollars unless otherwise specified. Applicable taxes may be added. Satva may change pricing for future purchases or renewal periods, subject to applicable law and any specific written agreement.
When you purchase a recurring subscription, you authorize Satva and its payment processors to charge your selected payment method automatically at the stated billing interval until the subscription is canceled. You understand that recurring charges do not require separate authorization before each renewal charge.
Satva may correct pricing or billing errors and may refuse or cancel an order when reasonably necessary. Failed or overdue payments may result in suspension or termination of access.
6. Thirty-Day Free Trial
Satva may offer eligible new customers a thirty (30) day free trial of the Satva software platform. A valid payment method is required to begin the trial. No subscription fee is charged when the trial begins.
The free trial provides self-guided access to the Satva software platform. Unless expressly stated in writing as part of a specific promotion, it does not include private onboarding, a guided implementation program, weekly implementation calls, done-for-you configuration, consulting, or other professional services.
Satva may modify, limit, or discontinue promotional or free-trial offers and may determine eligibility for such offers in its reasonable discretion.
7. Cancellation, Refunds & Account Transfers
Software subscriptions may be canceled at any time. If you are participating in a free trial, you must cancel before the trial period ends to avoid the first subscription charge.
After a paid subscription begins, cancellation takes effect at the end of the then-current paid billing period unless a specific order or written agreement states otherwise. Except where required by law or expressly stated in writing, processed payments are non-refundable and Satva does not provide prorated refunds or credits for partially used billing periods.
Cancellation of a software subscription does not automatically cancel or refund separately purchased implementation, consulting, setup, professional services, or project-based services.
Cancellation requests may be submitted through available account controls or by contacting Satva using the contact information provided on the Site.
If you request transfer of a Satva account to another compatible SaaS agency or provider, transfer availability, timing, technical limitations, fees, and post-transfer support obligations may depend on the underlying platform and Satva's then-current transfer policy. Any applicable transfer fee will be disclosed before Satva initiates the transfer. Satva is not responsible for the receiving provider's configuration, pricing, support, or continued compatibility after transfer.
8. Software Subscriptions & Professional Services
Satva offers subscription-based software access and may separately offer professional services including guided implementation, systems consulting, configuration, migration, automation setup, funnel or landing-page infrastructure, and done-for-you Business OS implementation.
The specific deliverables, pricing, payment schedule, timeline, support, and scope included in a purchase are determined by the offer, proposal, order form, checkout page, statement of work, or other written agreement presented at the time of purchase.
Unless expressly stated otherwise, implementation, setup, consulting, and other professional-service fees are separate from recurring software subscription fees. Completion of an implementation project does not provide perpetual access to the Satva software platform. Continued platform access may require an active paid subscription at the then-current applicable rate.
Professional services depend on timely customer cooperation, including access, credentials, information, approvals, content, feedback, and decisions. Customer-caused delays may affect delivery dates and do not automatically entitle the customer to a refund.
Satva may use employees, contractors, specialists, and third-party providers to perform portions of professional services while remaining responsible for its contractual obligations to the extent stated in the applicable agreement.
9. Third-Party Services, Integrations & AI Features
The Services may rely on or integrate with third-party software, hosting providers, communications providers, payment processors, artificial intelligence providers, social platforms, calendar services, domain providers, mobile applications, APIs, or other technology.
Third-party services are subject to their own terms, policies, availability, pricing, functionality, usage limits, and technical restrictions. Satva does not control and cannot guarantee the uninterrupted availability, continued compatibility, or future functionality of third-party services.
Certain plans or features may include access to AI-powered functionality. AI-generated output may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose. You are responsible for reviewing AI output before relying on, publishing, sending, or using it and for ensuring your use complies with applicable laws and third-party terms.
Descriptions such as "included" or "unlimited" AI, messaging, storage, or other third-party-powered functionality are subject to the technical capabilities, acceptable-use requirements, fair-use restrictions, and provider limitations applicable to the underlying services.
10. Acceptable Use & Prohibited Activities
You may not use the Services to violate law; infringe intellectual property, privacy, publicity, or other rights; transmit malware or harmful code; gain unauthorized access to systems or accounts; interfere with the security or operation of the Services; impersonate others; engage in fraud or deception; harvest data or credentials without authorization; send unlawful spam or communications; reverse engineer or circumvent access restrictions; scrape or systematically extract Satva Content without permission; resell or sublicense access except where expressly authorized; or use the Services to create or support a directly competing software service through unauthorized copying of Satva's proprietary materials.
You are responsible for obtaining required permissions and consents for communications you send through the Services, including email, SMS, calls, marketing, and automated communications.
Satva may investigate suspected violations and may restrict or suspend access where reasonably necessary to protect users, systems, third parties, or Satva.
11. Customer Content & Contributions
You retain ownership of Customer Content. You grant Satva and its service providers a non-exclusive license to host, store, process, reproduce, transmit, and display Customer Content as reasonably necessary to operate, secure, support, improve, and provide the Services.
You represent that you have the rights and permissions necessary to provide Customer Content and to authorize its processing through the Services.
If you voluntarily submit reviews, testimonials, feedback, suggestions, or ideas to Satva, you grant Satva the right to use that feedback for lawful business purposes. Satva will not claim ownership of your underlying customer database merely because it is stored in the Services.
12. Mobile Applications & Connected Accounts
Access through third-party mobile applications or connected accounts may be subject to additional terms imposed by the applicable app store, application provider, or connected platform. Satva is not responsible for changes made by those third parties.
If you connect third-party accounts, you authorize the Services to access and process information from those accounts to the extent permitted by you and the applicable provider. You are responsible for ensuring you have authority to make the connection.
13. Site & Service Management
Satva may monitor the Services for operational, security, compliance, and support purposes; restrict access to content or accounts that violate these Terms; remove files that create unreasonable security or operational burdens; perform maintenance; and take reasonable steps to protect the Services and their users.
14. Copyright Complaints
Satva respects intellectual property rights. If you believe material available through the Services infringes rights you own or control, contact Satva with sufficient information to identify the work, the allegedly infringing material, your contact information, and the basis for your claim.
15. Term, Suspension & Termination
These Terms remain in effect while you use the Services. Satva may suspend or terminate access for material breach, unlawful use, security risk, fraud, abuse, nonpayment, or other conduct that materially threatens Satva, its systems, or other users.
Upon termination, your right to use the affected Services ends. Provisions that by their nature should survive termination—including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, dispute provisions, and applicable data obligations—will survive.
16. Modifications, Availability & Interruptions
Satva may modify, update, discontinue, or replace portions of the Services. We do not guarantee that every feature will remain available indefinitely.
The Services may experience downtime, maintenance, technical errors, third-party outages, or interruptions. Satva is not liable for inability to access the Services caused by events outside Satva's reasonable control, subject to applicable law.
17. Disclaimer of Warranties
THE SERVICES, SITE, CONTENT, SOFTWARE, AI FEATURES, AND PROFESSIONAL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
SATVA DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.
Satva does not guarantee that use of the Services will produce any particular revenue, lead volume, sales result, business outcome, or other financial result. Business results depend on many factors outside Satva's control.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATVA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; BUSINESS INTERRUPTION; OR SIMILAR LOSSES ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATVA'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SATVA FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Satva and its owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Services, your Customer Content, your violation of these Terms, your violation of third-party rights, or communications and business activities conducted through your account.
20. User Data, Exports & Backups
Satva and its providers may maintain data submitted through the Services for the purpose of operating the Services. You remain responsible for data you control and for maintaining appropriate copies or exports of business-critical information.
Although Satva may perform routine backups or rely on underlying providers that do so, Satva does not guarantee that every item of data can be recovered after deletion, corruption, account termination, third-party failure, or other loss.
Upon cancellation or termination, access to data may become limited or unavailable. You are responsible for exporting data you wish to retain before your access ends, subject to the technical capabilities of the applicable platform and applicable law.
21. Electronic Communications, Transactions & Signatures
You consent to receive agreements, notices, disclosures, and other communications electronically. Electronic acceptance, checkboxes, typed names, digital signatures, online purchases, and similar electronic actions may constitute legally binding signatures and records to the extent permitted by law.
22. Governing Law
These Terms and your use of the Services are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
23. Dispute Resolution & Arbitration
Before initiating formal proceedings, the parties agree to make a good-faith effort to resolve disputes informally by providing written notice of the dispute and allowing a reasonable opportunity to respond.
Except for claims that qualify for small-claims court, requests for injunctive relief relating to intellectual property or misuse of systems, or claims that applicable law does not permit to be arbitrated, disputes arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration rather than a jury trial or class action, to the extent enforceable under applicable law.
Arbitration will take place in Nevada unless the parties agree otherwise or applicable law requires another location or method. Arbitration will be administered under the applicable rules of a recognized arbitration provider selected by Satva and reasonably available to the parties.
TO THE EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. THE PARTIES WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
24. California Users & Other State Rights
Residents of California and other states may have additional rights under applicable consumer or privacy laws. Nothing in these Terms limits rights that cannot legally be waived. California residents may contact the California Department of Consumer Affairs as permitted by applicable law.
25. Miscellaneous
These Terms, together with incorporated order forms and written agreements, constitute the agreement between the parties regarding the Services addressed by them. Failure to enforce a provision is not a waiver. If a provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
Satva may assign its rights and obligations in connection with a merger, acquisition, sale of assets, financing, corporate reorganization, or similar transaction. You may not assign your rights or obligations without Satva's written consent, except where applicable law provides otherwise.
26. Contact
Questions about these Terms, billing, cancellation, privacy, or the Services may be submitted through the contact and support channels published on Satva's websites or within the Satva platform.

By using the Services, you acknowledge the practices described in this Privacy Policy.
2. Information We Collect
We may collect information you provide directly, including your name, business name, email address, telephone number, billing information, account credentials, communications, support requests, form responses, uploaded content, customer or contact data you place into the platform, and information submitted when purchasing or using professional services.
Payment-card information may be collected and processed by third-party payment processors. Satva may receive transaction details and limited billing information without storing full payment-card numbers.
We may automatically collect technical and usage information such as IP address, browser type, device information, operating system, referring URLs, pages viewed, feature usage, log information, approximate location derived from technical information, cookies, and similar technologies.
When you connect third-party accounts or integrations, we may receive information authorized by you and made available by those providers.
3. How We Use Information
We may use information to provide, operate, configure, secure, and improve the Services; create and manage accounts; process transactions; deliver professional services; provide customer support; communicate about accounts, billing, product updates, and service notices; personalize user experience; detect fraud, abuse, or security threats; analyze performance and usage; comply with legal obligations; enforce agreements; and, where permitted, provide marketing communications.
4. Customer Data & Business Contact Data
Customers may upload or process information about their own leads, customers, employees, contacts, or other individuals through Satva. In those situations, the customer is responsible for determining whether it has a lawful basis, consent, and authority to collect and use that information.
Satva processes such information to provide the Services and as otherwise permitted by these Terms, the customer's instructions, applicable agreements, and law.
Customers are responsible for compliance with laws governing their marketing, email, SMS, telephone, recording, advertising, privacy, and customer communications.
5. Cookies & Tracking Technologies
Satva and its service providers may use cookies, pixels, local storage, analytics technologies, and similar tools to operate websites, remember preferences, understand usage, improve performance, measure marketing, and support security.
Browser settings may allow you to restrict cookies, although disabling certain technologies may affect functionality.
6. How We Share Information
We may share information with vendors and service providers that help us provide hosting, software infrastructure, communications, payment processing, analytics, customer support, professional services, security, automation, AI functionality, and other business operations.
We may disclose information when reasonably necessary to comply with law, legal process, court orders, governmental requests, protect rights and safety, investigate fraud or abuse, or enforce our agreements.
Information may also be transferred in connection with a merger, financing, acquisition, sale of assets, reorganization, bankruptcy, or similar business transaction.
We do not sell personal information in the ordinary meaning of selling data for money. Certain advertising or analytics practices may be treated as "sharing" or "selling" under some state privacy laws; where applicable, Satva will honor legally required opt-out rights.
7. Third-Party Services
The Services may link to or integrate with third-party websites, applications, software, and providers. Their privacy practices are governed by their own policies. Satva is not responsible for third-party privacy practices or content.
8. Data Retention
We retain information for as long as reasonably necessary to provide the Services, maintain business and transaction records, comply with legal obligations, resolve disputes, enforce agreements, maintain security, and fulfill other legitimate business purposes.
Retention periods vary based on the type of information, customer relationship, underlying platform capabilities, and applicable law.
9. Data Security
Satva uses reasonable administrative, technical, and organizational safeguards designed to protect information. No electronic transmission, storage system, or security measure can guarantee absolute security.
You are responsible for protecting your credentials, configuring your account appropriately, limiting user access, and promptly reporting suspected unauthorized activity.
10. International & U.S. Processing
Satva is based in the United States and the Services may be hosted or supported in the United States or other locations where Satva's providers operate. If you access the Services from outside the United States, your information may be transferred to and processed in jurisdictions with different data-protection laws.
11. Children's Privacy
The Services are designed for businesses and are not directed to children under 13. Satva does not knowingly collect personal information directly from children under 13 through its business Services. If we learn that such information was collected contrary to applicable law, we will take reasonable steps to delete it.
12. Your Privacy Rights
Depending on where you live, you may have rights to request access to, correction of, deletion of, or a copy of certain personal information; to opt out of certain processing; or to appeal certain privacy decisions.
Rights vary by jurisdiction and may be subject to exceptions. Satva may need to verify your identity before fulfilling a request.
You may unsubscribe from promotional emails using the unsubscribe link provided in those messages. Transactional, security, billing, and account communications may still be sent when necessary.
13. Do-Not-Track & Browser Signals
Because there is not yet a universally accepted standard for responding to all browser "Do Not Track" signals, Satva may not respond to every such signal. Where applicable law requires recognition of specific opt-out preference signals, Satva will handle them as required.
14. Privacy Policy Updates
We may update this Privacy Policy from time to time. The revised policy will be identified by an updated date. Material changes may be communicated through the Site, platform, email, or another reasonable method when required by law.
15. Privacy Contact
Privacy questions and requests may be submitted through the contact and support channels published on Satva's websites or within the Satva platform.

You should independently review information before relying on it for material business, legal, financial, or compliance decisions.
